The Brazilian competition authority CADE gave the green light for American Airlines to invest US$100 million in Azul, acquiring roughly an eight‑percent share of the carrier’s capital.

The approval is tied to a Concentration Control Agreement that limits American’s access to Azul’s non‑public pricing, capacity, route planning and commercial strategy data, and requires the airline to withdraw from meetings where such topics are discussed. American will be able to appoint a representative to Azul’s Board of Directors until February 2028 and to its Strategic Committee until February 2029, and must notify CADE of any future stake changes of 5 % or more on Brazil‑U.S. routes.

Azul said it will start implementing new commercial agreements with American following the CADE approval.

Why it matters

The investment strengthens Azul’s capital structure while giving American a limited governance role but no access to sensitive commercial data, shaping future partnership dynamics in the Brazil‑U.S. market.
