American Airlines will invest US$100 million in Azul, giving it about an 8% ownership share, and will have the right to appoint a representative to Azul’s Board of Directors until February 2028 and to its Strategic Committee until February 2029.

The airline must notify Brazil’s competition authority, Cade, in advance if it acquires a stake of 5% or more in any carrier operating on the Brazil–United States corridor, and must report significant changes to its stake, powers, control or board appointments, with Cade retaining monitoring powers and the ability to impose sanctions for non‑compliance.
