American Airlines invests $100 million for 8% stake in Brazil's Azul

American Airlines will invest USD 100 million in Azul, acquiring roughly an 8% share of the carrier’s capital and gaining the right to appoint a representative to Azul’s Board of Directors until February 2028 and to its Strategic Committee until February 2029.

The investment is conditioned by a Concentration Control Agreement approved by Brazil’s Cade court, which bars American Airlines from accessing Azul’s non‑public price, capacity, route planning and commercial strategy data, requires it to withdraw from meetings discussing those topics, and obliges it to notify Cade of any relevant acquisitions; United Airlines made an identical investment earlier in the year, raising its participation to just over 8%.
